1. Acceptance of Terms

By accessing this webpage, you are agreeing to be bound by these Terms and Conditions ("Terms") in a legally binding agreement between Vishwa Labs ("Merchant", "us", "we", or "our") and the User ("you" or "your"). Please read these Terms carefully before accessing or using the Platform. If you do not agree to the Terms, you may not access the Platform.

We reserve the right to update and change these Terms and Conditions by posting updates and changes to the Platform. You are advised to review these Terms from time to time for any updates or changes that may impact you. If any amendment is not acceptable to you, you should cease using the Platform.

2. Eligibility

You represent and warrant that you have the right, power, and authority to agree to these Terms, become a party to a legally binding agreement, and perform your obligations hereunder.

3. Definitions

Payment Instrument includes credit cards, debit cards, bank accounts, prepaid payment instruments, UPI, IMPS, and any other payment methods made available by banks or financial institutions from time to time.
Platform refers to the website or platform where the Merchant offers products or services and where the Transaction may be initiated.
Transaction means an order or request placed by a User to purchase products and/or services listed on the Platform by paying the Transaction Amount to the Merchant.
Transaction Amount means the amount paid by the User in connection with a Transaction.
User or Users means any person availing the products and/or services offered on the Platform.
Website means https://vishwalabs.com or any related mobile application, if applicable.

4. Merchant's Rights

You agree that we may collect, store, and share the information provided by you in order to deliver the products and/or services availed by you on our Platform and/or contact you in relation to the same.

5. Your Responsibilities

You agree to provide true, complete, and up-to-date information as may be required to complete Transactions. This includes personal details such as your name, email address, phone number, delivery address, age, gender, or any other information we reasonably require, along with accurate payment details.

6. Prohibited Actions

You may not access or use the Platform for any purpose other than that for which it is made available. The Platform may not be used in connection with any commercial endeavor except those specifically endorsed or approved by us.

As a User of the Platform, you agree not to:

Systematically retrieve data or content from the Platform to create a collection, compilation, database, or directory without written permission.
Make any unauthorized use of the Platform, including collecting usernames or email addresses for unsolicited communications or creating accounts by automated means or false pretenses.
Circumvent, disable, or otherwise interfere with security-related features of the Platform or content restrictions.
Trick, defraud, or mislead us or other users, including attempts to obtain sensitive account information such as passwords.
Make improper use of support services or submit false reports of abuse or misconduct.
Engage in automated use of the system, including scripts, bots, data mining, or other data gathering and extraction tools.
Interfere with, disrupt, or create an undue burden on the Platform or the networks or services connected to it.
Attempt to impersonate another user or person, or use another user's username.
Use information obtained from the Platform to harass, abuse, or harm another person.
Use the Platform as part of any effort to compete with us or for any unauthorized revenue-generating or commercial enterprise.
Decipher, decompile, disassemble, reverse engineer, copy, or adapt any software or code comprising part of the Platform.
Attempt to bypass any measures designed to prevent or restrict access to the Platform or any portion of it.
Harass, annoy, intimidate, or threaten our employees or agents.
Upload or transmit viruses, Trojan horses, spam, repetitive text, or any material that interferes with another party's uninterrupted use and enjoyment of the Platform.
Disparage, tarnish, or otherwise harm us or the Platform, or use the Platform in a manner inconsistent with applicable laws or regulations.

7. Limitation of Liability

You agree that if you receive a defective product, experience a deficiency in service, or receive a product or service that does not match the description provided on the Platform, your sole recourse is to initiate the refund process in accordance with our Refund and Cancellation Policy. We expressly disclaim liability for any other losses to the fullest extent permitted by law.

You shall indemnify and hold harmless the Merchant and its affiliates, agents, and representatives from and against any claims, demands, causes of action, obligations, liabilities, losses, damages, injuries, costs, and expenses arising out of or related to any breach or alleged breach of these Terms by you.

8. Guidelines for Reviews

We may provide areas on the Platform to leave reviews or ratings. When posting a review, you must comply with the following criteria:

Reviews are not endorsed by us and do not necessarily represent our opinions or those of our affiliates or partners. By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable right to reproduce, modify, translate, transmit, display, perform, and distribute content relating to that review.

You should have firsthand experience with the person or entity being reviewed.
Your review must not contain profanity, abusive language, racism, hate speech, or offensive content.
Your review must not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability.
Your review must not reference illegal activity or make conclusions as to the legality of conduct.
You should not be affiliated with competitors if posting negative reviews.
You may not post false or misleading statements.
You may not organize campaigns encouraging others to post positive or negative reviews.
We may accept, reject, or remove reviews in our sole discretion.

9. Governing Laws and Dispute Resolution

These Terms, their subject matter, and their formation are governed by the laws of India. You and we both agree that the courts in India will have exclusive jurisdiction over any dispute, subject to the arbitration terms below.

Any dispute or claim arising out of or in connection with these Terms, their breach, termination, or invalidity will be referred to and finally resolved by arbitration in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996. The parties will endeavor to mutually appoint a sole arbitrator within 30 days of a notice of dispute; failing that, the appointment will be made in accordance with applicable law. The arbitration will be conducted in English, the proceedings will remain confidential except as required by law, and the decision of the arbitrator will be final and binding. Either party may seek appropriate injunctive relief from courts in Bengaluru. Costs of arbitration will be borne as determined in the arbitral award, while each party will initially bear its own costs.

10. Grievance Redressal

If you have any question or complaint regarding any product or service availed on our Platform, or pertaining to any Transaction, including double debit of Transaction Amount, fraudulent Transaction, unauthorized Transaction, or refund requests, you may contact us through our contact page or email us at info@vishwalabs.com.

11. Disclaimer

Upon initiating a Transaction, you are entering into a legally binding and enforceable contract with us to purchase products and/or services, and you shall pay the listed price through legitimate and legal sources of funds using accepted Payment Instruments. The information provided by you may be utilized or shared with third parties if required for fraud verification or by law, regulation, or court order.

We expressly disclaim liability arising as a consequence of any unauthorized use of a User's Payment Instrument. All payments undertaken by you are at your own risk and volition. We are not liable for any loss or damage arising directly or indirectly due to declined authorization, malfunctions, errors, or unscrupulous activities.

If you receive a user identification code, order ID, password, or any other security-related information, you must treat it as confidential and must not disclose it to any third party. Content on the Platform is provided for general information only and does not amount to advice. We do not endorse or verify third-party links, user-submitted content, or materials uploaded by other users, and we do not guarantee that the Platform will always be secure or free from bugs or viruses. You are responsible for configuring your own systems and using suitable virus protection software.
